Add another corporation to the ever growing list of businesses moving to Texas. ExxonMobil says it was the logical decision.

ExxonMobil Proposes Historic Shift: Moving Legal Home to the "Lone Star State"

In a move that signals the end of a century-long era, Exxon Mobil Corporation announced Tuesday that by a unanimous vote, its Board of Directors approved the relocation of the company’s legal domicile from New Jersey to Texas. The shift is an effort by the company to merge its legal identity with its physical operations in Spring, Texas. The company moved its global headquarters to the Houston area in 2023.

Aligning the Corporate Map

For over 100 years, ExxonMobil was legally a resident of New Jersey, despite its massive industrial and administrative footprint in the South. CEO Darren Woods said the move is the logical decision.

The Texas Advantage: Courts and Regulation

The rationale behind the move involves more than geography. According to ExxonMobil, two factors drove the change:

Specialized Business Courts: Texas is home to courts that specialize in business matters.

Litigation Risk Management: Texas is a pro-business state. Exxon feels that moving everything to Texas will protect the company from shareholder litigation.

Next Steps for Shareholders

While the Board’s recommendation is unanimous, the final decision rests with the investors. Shareholders will be asked to cast their votes on the legal relocation during the company’s annual meeting in May 2026. If approved, the move will finalize a multi-year transition that has seen the company shift its center of gravity entirely to the Houston region.
